Highlights of some of the M&A deals that our lawyers have participated in include:

Represented a foreign strategic investor in its purchase and conversion of the first mandatorily convertible bonds approved by the State Council that were issued by a state-controlled company listed on both the Hong Kong and Shanghai stock exchanges. Approximately US$300 million in funds were raised.
Acted as a key legal adviser for an offeror in a tender offer for a Hong Kong-listed company which owns operating assets in the PRC. Client successfully completed takeover and privatization of the company. This transaction involved divestment of state-owned shares and competitive bidding by large multinationals. Total deal size was about 6 billion Hong Kong dollars. This deal was named “The Deal of the Year” by several financial institutions in that year.
Participated in the transfers of H-shares of a state-controlled company and antitrust filings, notifications and reviews involving total value of approximately US$1 billion.
Represented the purchaser in the acquisition of a group of private companies with manufacturing facilities and distribution networks in the PRC through the sale and purchase of shares of an offshore holding company, with an aggregate value of approximately US$300 million.
Acted for offshore private equity in various transactions involving PRC equity and assets from companies in liquidation, with an aggregate value of approximately US$100 million.
